JOB OVERVIEW
A leading company is seeking an experienced Corporate Secretarial Manager on a fixed-term contract to provide corporate secretarial and governance support. This role will cover the full range of corporate secretarial responsibilities, ensuring compliance with statutory, regulatory, and governance requirements while supporting senior management and the board.

KEY RESPONSIBILITIES

  • Provide corporate secretarial support to multiple companies within the Group.

  • Advise management on corporate secretarial matters and governance best practices.

  • Prepare and submit statutory documents, reports, annual returns, resolutions, agendas, minutes, and other related documentation.

  • Ensure secretarial records comply with Companies Act 2016, Securities Commission regulations, and relevant listing requirements.

  • Verify corporate information accuracy in audited financial statements.

  • Liaise with regulators and authorities including Companies Commission of Malaysia, Bursa Malaysia, Securities Commission, auditors, and other stakeholders.

  • Coordinate and arrange Board of Directors, Board Committee, management, and shareholder meetings.

  • Support corporate actions including acquisitions, disposals, company formations, liquidations, and restructurings.

  • Monitor and implement corporate governance frameworks and ensure their effectiveness.

  • Supervise and provide guidance to subordinates.

  • Perform other related support tasks as required.

REQUIRED QUALIFICATIONS AND EXPERIENCE

  • Relevant tertiary degree or Associate membership of the Institute of Chartered Secretaries and Administrators (ICSA).

  • Minimum 10 years corporate secretarial experience, preferably within public-listed companies.

  • Strong knowledge of corporate governance, company laws, regulatory requirements, and listing rules.

  • Analytical, meticulous, and able to manage multiple tasks in a fast-paced environment.

  • Excellent interpersonal, communication, and organisational skills.

  • Ability to prioritise, work under pressure, and maintain accuracy and attention to detail.

SKILLS AND COMPETENCIES

  • Strong understanding of corporate secretarial principles, company laws, and governance frameworks.

  • Experience preparing and submitting statutory filings and regulatory reports.

  • Effective team management and supervisory skills.

  • Proficiency in document preparation, reporting, and stakeholder liaison.
